Video game retailer GameStop has agreed to buy rival Electronics Boutique Holdings for $1.44 billion in cash and stock.

The acquisition, announced Monday, is meant to help GameStop enter new international markets.

Shareholders of specialty chain store Electronics Boutique will receive $38.15 in cash and the equivalent of 0.78795 shares of GameStop Class A common stock for each Electronics Boutique share, the company said. That is a premium of 34.2 percent, based on Friday's closing prices for the stocks.

GameStop said it expects the deal to add significantly to its diluted earnings per share in the second half of its fiscal year 2005 and in 2006. It also expects "meaningful" pretax savings, beginning in fiscal year 2006.

Once the deal closes, GameStop Chairman and Chief Executive Richard Fontaine and Chief Operating Officer Daniel DeMatteo will retain their roles at the combined company.

Shareholders representing about 47 percent of Electronics Boutique's voting shares have already pledged their support for the deal, GameStop said.

I thought EB was owned by Game? Or is it EB owns Game!? :confused:

Neither. They were both completly seperate companies until now. I'm not sure who ran EB Games, but GameStop is owned and opperated by Barnes and Noble, Inc. (Bookstore...)

I'm kinda disappointed with this. I liked EB the way it is. The people at Gamestop (at least the one near me compared to the 3 EB near me) arent exactly nice/friendly that much. Some seem to have an attitude.
 
It's been a mixed bag for me. Most of the time they are friendly at both stores. They will treat you like a god if you are actually in there to buy or pre-order. Sometimes they will get defensive when you know more than they do (which is not difficult to do).

I heard GameStop owned Babbages and some other chain from back east.

I heard about this, this morning. When one company buyout their competition, isn't it bad for the consumer? EBX has been my favorite place to shop for video games, so I was little bit dissapointed by the news.
 
Hmmm... now there is only one gaming store to choose from, it seems. I will now have 434565 Gamestops within 20 miles from here.
