Importance of engine/chassis overhaul?

I just got a FGT from the online dealership, and I'm wondering how important is it to overhaul the engine and chassis? It would cost an extra one million to do so. Does it actually make a worthwhile difference in speed/driveability?
It currently tops out at 382 km/h, even with the transmission adjusted to supposedly go up to 480. Could I get over 400 km/h by overhauling it?
 
I only rebuild an engine when it is down on power and a oil change doesn't bring it back to full strenght, but the cars have always been high milage from the UCD or lots of racing. As for the chassis, i've never had any done as i'm not sure what it does.
