Photoshop Help Please(Layers)

Can someone school me on how to use the layers on photoshop? and how to make backgrounds transparent or slightly faded.


I need this backround:

And this text in the middle:

And this logo in the top left corner:


If anyone can do some screenshots on how to do it that would be great.

I also wanted to have a shadow behind the 'startup' so it looks less flat.
 
There's an opacity setting in Photoshop called "Screen" that filters out all black color, which works fine for the third image. For the second one, however, it cuts out some of the black inside the lettering which makes it hard to read. I think your only choice here is to cut it out of that background. Especially if you want to put a shadow under it.

I used the magic wand to delete the black on each, and dragged the layers. :)
 
Magic wand, check contiguous, click on the black background area and delete. Then while selection is still on, do select, invert, then edit, copy. Go to the background image and paste. It's easier to get rid of the black first.


I would also use Image, Adjust, Levels or Image, Adjust, brightness/contrast to fade the background just a bit to help the lettering stand out.

I tried again with an extra white outline to the text which helps a lot

One more problem Ive run into. Once you've laid down a layer on a separate image, how do you move it again like if its not in the right position. Right now im using trial and error method and deleting the layer if its off target which is annoying and takes more time than it should.
